Terms of Service

Последнее обновление:

These Terms of Service govern the use of the website sava.team (the “Website”) and the provision of our services to clients located outside Russia and Belarus. By ordering services you agree to these Terms. Where a proposal, statement of work or agreement signed with you says otherwise, that document prevails.

1. Legal notice

Information about the provider (Art. 10 of Spanish Law 34/2002, LSSI-CE):

  • Name: Vladimir Savrov (autónomo)
  • NIF/NIE: ESZ3683284T
  • Address: Alicante, Spain
  • Name: SAVA Team LLC
  • Address: Georgia, Tbilisi

2. Definitions

  • Services — software development, design, integrations, support and related work.
  • Plan — a set of services, price and conditions published on the Website.
  • Proposal — our written offer for a specific order: scope, price, deadlines.
  • Consumer — an individual ordering services for purposes outside their trade, business or profession.
  • Business client — a company or self-employed person ordering services for business purposes.

3. Who you contract with

Clients in the European Union contract with Vladimir Savrov (autónomo). Clients in other countries contract with Vladimir Savrov (autónomo) or SAVA Team LLC, as stated in the proposal and the invoice.

4. How a contract is made

  1. A request sent through the Website form, by email or in a messenger is not an order and does not create any obligation to pay.
  2. We reply with a proposal. Before you accept it, the proposal states the scope, the total price including any applicable VAT, deadlines and payment terms.
  3. The contract is concluded when you accept the proposal in writing (including by email) or pay the invoice in full or in part. We confirm the contract by email.
  4. The contract is concluded in English.

5. Prices and payment

  1. Prices on the Website are indicative. Clients in the European Union see them in euros, other clients in US dollars. The binding price is the one in the proposal or plan you accept.
  2. All prices on the Website exclude VAT (IVA). VAT is added at the applicable rate. For consumers the proposal always states the final price including VAT. For business clients in the EU, the reverse-charge rule applies where the law provides for it.
  3. Payment is made by invoice by bank transfer or another method agreed in the proposal. The payment date is the date the funds reach our account.
  4. A price change never affects services already paid for or the current period of a subscription. We notify you of a new subscription price at least 14 days before the period it applies to; you may cancel before that period starts.

6. Our obligations and yours

  • We provide the services on time and with due care, keep your information confidential and keep you informed of progress.
  • You pay as agreed and provide the materials, information and access we need. Deadlines are extended by any delay in providing them.

7. Delivery and acceptance

When the work is done we send you a confirmation of the services provided. A business client either accepts it or sends reasoned objections within 5 (five) business days; otherwise the services are deemed accepted. This deemed-acceptance rule does not apply to consumers, who keep the legal guarantee for lack of conformity.

8. Right of withdrawal for consumers

  1. If you are a consumer in the European Union, you may withdraw from the contract within 14 days of its conclusion without giving any reason.
  2. To withdraw, inform us of your decision by an unequivocal statement — for example an email to i@sava.team. You may use the model withdrawal form below, but it is not obligatory. It is enough to send your statement before the 14-day period expires.
  3. We refund all payments received from you without undue delay and no later than 14 days from the day we receive your withdrawal, using the same means of payment you used.
  4. If you expressly asked us to start the services during the withdrawal period, you pay an amount proportionate to what was provided until you told us of your withdrawal. Once the services have been fully performed at your express request, with your acknowledgement that you lose the right of withdrawal, the right no longer applies.

9. Cancellation and refunds

  1. Apart from the right of withdrawal, you may terminate the contract at any time by paying for the services already provided and the costs we have actually incurred.
  2. You may cancel a subscription at any time by email. Access remains until the end of the paid period. On request we refund the unused part of the paid period, less the costs actually incurred, in proportion to the time remaining.
  3. Refunds are made within 10 (ten) calendar days of receiving the request, by the same method as the payment.

10. Liability

  1. Each party is liable for failure to perform its obligations under applicable law.
  2. Towards business clients, our total liability is limited to the amount actually paid under the relevant order, and liability for lost profit and indirect damage is excluded.
  3. These limitations do not apply to consumers and never limit liability for intent or gross negligence, or for death or personal injury.

11. Intellectual property

Once the relevant work is paid for in full, the rights to the results created specifically for you pass to you to the extent stated in the proposal. Third-party and open-source components remain subject to their own licences.

12. Personal data

We process personal data as described in our Privacy Policy. Where consent is required, it is given separately from accepting these Terms and can be withdrawn at any time.

13. Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control. The affected party informs the other within a reasonable time.

14. Governing law and disputes

  1. These Terms are governed by Spanish law. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory rules of the country where you live.
  2. We try to settle any disagreement by negotiation first.
  3. Disputes with business clients are decided by the courts of Alicante, Spain. Consumers may bring proceedings in the courts of their place of residence or of our place of business.

15. Changes to these Terms

We may change these Terms. Changes do not affect services already paid for or the current period of a subscription. The current version is always available on this page; the date of the version is shown at the top.
